1. Introduction and Scope of Services

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and WhiteWaters Capital, Inc. ("Company"), the operator of the TSVERSE.US platform ("Platform"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

The Platform is offered exclusively as a software-as-a-service solution that enables users to design, test, and deploy algorithmic trading logic. The Platform does not provide investment advice, brokerage services, or portfolio management.

2. No Investment Advice or Fiduciary Relationship

The Company is not registered as an investment adviser, commodity trading advisor, broker-dealer, or futures commission merchant. Nothing contained on the Platform shall be construed as personalized investment advice or a recommendation to buy, sell, or hold any security, digital asset, or other financial instrument.

No fiduciary, advisory, or trust relationship is created between the Company and any User.

3. User-Controlled Trading and Third-Party Execution

All trading activity initiated through strategies designed using the Platform is executed exclusively through third-party exchanges, including but not limited to Coinbase, using API credentials supplied and controlled solely by the User.

The Company does not have custody, possession, or control over User funds, accounts, or digital assets and does not have the ability to initiate withdrawals or transfers.

4. Hypothetical Performance and Backtesting Disclaimer

Any performance metrics generated by the Platform, including hypothetical, simulated, or backtested results, are provided solely for informational and educational purposes. Such results do not represent actual trading and are subject to inherent limitations, including hindsight bias and the absence of real-world market frictions.

No representation is made that any strategy will achieve profits or losses similar to those shown.

5. Fees and Compensation

Users pay a fixed subscription fee for access to the Platform. The Company does not receive compensation based on trading performance, account balances, or profitability. Any commercial arrangements with third-party exchanges are independent of User outcomes.

6. Eligibility and Age Restrictions

Access to live trading functionality is strictly limited to individuals who are at least eighteen (18) years of age and legally capable of entering into binding contracts under applicable law.

Users under the age of eighteen may only access non-trading, educational, or simulation features where permitted.

7. Intellectual Property Rights

The Platform and all associated software, interfaces, and documentation are the exclusive property of the Company. Users retain ownership of the algorithmic logic they independently create, subject to the Company’s license to host and process such content for platform operation.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR TRADING LOSSES, ARISING FROM OR RELATING TO USE OF THE PLATFORM.

10. Arbitration and Class Action Waiver

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association on an individual basis only. Users waive any right to participate in class or representative actions.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-law principles.
